Terms of Service

Platform Terms of Service

Last updated: August 31, 2026

1. Agreement to These Terms

These Platform Terms of Service ("Terms") are an agreement between Jeff Dill ("BeefShareStores," "we," "us," or "our") and the individual or business ("Tenant," "you," or "your") that registers to build and operate an online store on the BeefShareStores platform (the "Service"). By creating an account, building a store, or using the Service in any way, you agree to be bound by these Terms. If you are agreeing on behalf of a business, you represent that you have the authority to bind that business.

These Terms govern the relationship between BeefShareStores and Tenants only. They do not govern the relationship between a Tenant and that Tenant's own customers, which is addressed in Section 10 below.

2. Description of the Service

BeefShareStores provides software that lets a Tenant build and operate a branded online store for selling beef shares (by the eighth, quarter, half, or whole) and individual cuts, and lets that Tenant's customers place orders online and, optionally, by text message. The Service includes storefront hosting, an order and inventory management console, deposit and balance-payment collection through Stripe, and optional add-on features described below.

BeefShareStores is a software provider. We do not raise, process, package, ship, or sell any livestock or meat product ourselves, and we are not a party to any sale between a Tenant and that Tenant's customers. See Section 10.

3. Eligibility and Registration

To use the Service, you must be at least 18 years old and legally able to enter into these Terms, and you must have all licenses, permits, and authorizations required to sell the products you list. You agree that the information you provide during signup and in your store's admin console — including your business name, contact information, and product listings — is accurate and kept up to date.

You may build and configure your store at no cost. Your store is not visible to the public, and cannot accept real orders, until it is activated under Section 4.

4. Fees and Payment

As of the date of these Terms, the Service is offered on the following pricing, which BeefShareStores may change on a going-forward basis with notice under Section 17:

  • A one-time setup fee, charged when you choose to activate your store and go live. This fee is not charged while you are building your store.
  • An ongoing fee equal to a fixed percentage of each beef-share sale only (never on individual-cut sales), collected automatically at the time of each such payment through Stripe's application-fee mechanism described in Section 5. This fee is added to the amount your customer pays, or deducted from your payout, depending on how the applicable fee-handling setting is configured for your store.
  • No recurring monthly or annual subscription fee.

Fees already collected are non-refundable except as required by law or as BeefShareStores agrees in writing.

5. Payment Processing Through Stripe

Customer payments are processed through Stripe, using a Stripe account that you connect to your store (a "Stripe Connect" account). Customer funds go directly to your own Stripe account, minus the fee described in Section 4 — BeefShareStores does not take custody of, or hold, funds belonging to you or your customers, other than our own fee.

Your use of Stripe is subject to Stripe's own terms of service and any agreement you enter into directly with Stripe. You are solely responsible for your Stripe account, including providing any information Stripe requires, resolving any disputes, chargebacks, or holds Stripe places on your account, and any fees Stripe itself charges you. BeefShareStores is not responsible for Stripe's acts, omissions, availability, or decisions regarding your account.

6. Tenant Responsibilities

As a Tenant, you are solely responsible for:

  • The accuracy of everything you list in your store, including product descriptions, availability, and pricing;
  • Fulfilling every order placed through your store — including sourcing, processing, packaging, and delivering or making available for pickup the products you sell;
  • All customer service, order issues, refunds, and disputes relating to your own sales, except for the platform fee described in Section 4;
  • Taxes on your sales, as described below; and
  • Keeping your account credentials, and your customers' information, secure.

Taxes. You are solely responsible for determining whether any sales, use, excise, or other tax applies to your sales — including the amount your customers pay you for beef shares or individual cuts — and, where applicable, for registering with the relevant tax authority, and collecting and remitting that tax. BeefShareStores does not determine your tax obligations, does not collect or remit any tax on your behalf, and is not responsible for any tax, penalty, or interest you owe or fail to pay. Payments from your customers go directly to your own Stripe account (Section 5); BeefShareStores never receives or holds funds that belong to your customers or that represent tax you owe. You should consult your own tax advisor, or the relevant state tax authority, about your specific obligations.

7. Products, Food Safety, and Regulatory Compliance

You are solely responsible for complying with all laws, regulations, and licensing requirements that apply to raising, processing, and selling livestock and meat products, including without limitation USDA and state department of agriculture requirements, custom-exempt or other processing and inspection rules that apply in your state, food-safety and labeling requirements, and any state or local permits needed to sell directly to consumers.

BeefShareStores does not inspect, test, verify, or endorse any product listed on any Tenant's store, and makes no representation about the quality, safety, legality, or fitness of any product sold through the Service. Nothing in these Terms, and nothing about the Service being available to you, should be understood as confirming that your operation is compliant with any law that applies to it — that determination is yours to make, together with your own legal and regulatory advisors.

8. Text Message (SMS) Ordering

Text-message ordering is an optional feature. Turning it on for your store requires a separate registration and carrier-approval process with our messaging provider, which can take several business days and is not guaranteed to be approved.

If you enable text-message ordering, you are responsible for ensuring that any text messages sent to your customers, and your collection of their consent to receive them, comply with the Telephone Consumer Protection Act (TCPA) and any other applicable law. BeefShareStores provides the technical means to send and receive order-related texts on your behalf but does not review or approve the content of, or consent basis for, any individual message.

9. Content and Branding License

You retain ownership of the content you upload to your store — including your business name, logo, colors, and any product photos. You grant BeefShareStores a non-exclusive, worldwide license to host, display, and reproduce that content solely as needed to operate your store and the Service. You represent that you own, or have the necessary rights to use and to grant this license in, everything you upload.

10. Relationship of the Parties; No Endorsement

BeefShareStores and each Tenant are independent parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. Each sale made through a Tenant's store is a transaction solely between that Tenant and that Tenant's customer — BeefShareStores is not a party to it, does not take title to any product sold, and has no obligation to any Tenant's customer.

BeefShareStores's provision of the Service to a Tenant is not an endorsement of that Tenant's business, products, or practices.

11. Intellectual Property

BeefShareStores and its licensors own all right, title, and interest in the Service itself — the software, platform, design, and BeefShareStores name and marks. These Terms do not grant you any rights in that intellectual property beyond the limited right to use the Service as intended.

12. Privacy and Data

BeefShareStores's handling of the information you provide us, and of information collected through the platform, is described in our Privacy Policy.

You are responsible for your own privacy policy toward your customers, and for handling their personal information (names, contact details, addresses, and order history) lawfully and securely. BeefShareStores acts as a service provider processing that customer data on your behalf and on your instructions, for the purpose of operating your store.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any third-party service we rely on (including Stripe or our messaging provider) will be available at any given time.

14. Limitation of Liability

To the fullest extent permitted by law, BeefShareStores will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or relating to these Terms or the Service. BeefShareStores's total liability for any claim arising out of or relating to these Terms or the Service will not exceed the fees you paid to BeefShareStores under Section 4 in the six (6) months before the event giving rise to the claim.

Nothing in this section limits either party's liability for gross negligence, willful misconduct, or any liability that cannot be limited by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless BeefShareStores and its owners, officers, and employees from any claim, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) the products you sell or the way you produce, process, or fulfill them; (b) your breach of these Terms; (c) your violation of any law, regulation, or third party's rights, including food-safety, agricultural, tax, or messaging/consent laws; or (d) content you upload to the Service.

16. Term, Suspension, and Termination

These Terms remain in effect for as long as you use the Service. You may stop using the Service at any time. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees when due, use the Service unlawfully, or if we reasonably believe continued access poses a legal, safety, or platform-integrity risk. Where practical, we will provide notice before suspending or terminating your account.

Termination of these Terms does not affect your own Stripe account or funds already paid to you, does not relieve you of obligations that by their nature survive termination (including Sections 6, 7, 14, and 15), and does not entitle you to a refund of fees already paid.

17. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will notify you by email or through your admin console before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Harmon County, Oklahoma, and each party consents to the personal jurisdiction of those courts.

19. General Provisions

  • Entire Agreement. These Terms, together with any policy they reference, are the entire agreement between you and BeefShareStores regarding the Service.
  • Severability. If any provision of these Terms is found unenforceable, the rest remain in effect.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control.
  • No Waiver. Failure to enforce any provision is not a waiver of that provision.
